1. Parties and business scope
This draft concerns business-to-business IoT connectivity and related platform services supplied by the contracting seller named on the agreement cover. Welcom operates the platform; a reseller may be the customer's seller and receive payment directly. Platform identity: Welcom, registration [TO CONFIRM: registration_number], address [TO CONFIRM: address]. The contracting seller's identity and authority must be verified before signing. Consumer services are outside this template.
2. Order and service scope
The agreement framework describes the selected SIM/eSIM services, usage model, private APN/VPN, tracking add-ons, service period and technical scope. The price appendix contains the specially agreed prices. A price or network entry is not confirmation of live delivery, coverage, permanent roaming permission, radio technology or a service-level commitment. Upstream approval, applicable country restrictions and the selected SIM profile must be checked before activation.
3. Metered usage, zones and buckets
Data is expressed in SI units: 1 MB is 1,000,000 bytes and 1 GB is 1,000 MB. Metered charges depend on the agreed unit price and verified billable usage. A bucket is shared within its named customer scope and expires at the agreed period end; unused data does not roll over unless expressly agreed. Zone membership is the versioned network list attached to the offer, not a universal country classification. Changes require a new agreed version. Billing blocks, rounding, minimum commitments and other exceptions must be stated explicitly.
4. Exhaustion and spending control
Stop is the default bucket-exhaustion choice until an authorised customer user selects an offered continuation policy. Metered continuation requires its unit price and additional spending limit. Extra packages require their quantity, price and purchase cap and expire with the original bucket. An offer, download or employee support session is not customer consent to additional purchases. Usage ingestion and upstream enforcement can be delayed; warnings and policy intent must not be represented as confirmed network enforcement.
5. Customer administration and network security
The customer appoints authorised administrators, protects credentials and limits access to networking and commercial controls. Private APN outbound traffic is denied by default; a VPN tunnel does not implicitly allow traffic. Customer rules and tunnels require validation, deployment and confirmation. Support access must be appropriately delegated and logged. The acceptable-use policy applies; security incidents are handled proportionately and without an unrestricted right to inspect traffic content.
6. Prices, payment and changes
Prices are in the currency and tax treatment stated in the price appendix; quoted prices exclude VAT unless expressly stated otherwise. The reseller may invoice and collect payment directly. Billing frequency, due date, activation charges, deposits, minimum purchase, credits and any minimum term must be agreed explicitly. A simulated margin or budget is not a guaranteed invoice amount. Price or service changes must follow the applicable agreement and mandatory notice requirements; the platform does not apply a unilateral change merely because a draft is saved.
7. Availability, cancellation and disputes

Coverage, maintenance, fault handling, service credits, cancellation notice, termination, data export and any liability cap require defined commercial terms before a final contract. Mandatory rights are preserved. The applicability of telecom rules to each M2M, internet, messaging or other service must be assessed; business status alone is not a blanket exemption. Governing law and dispute forum remain to be agreed.
8. Documents and acceptance
The signed agreement identifies its parties, selected service framework, specially agreed price appendix and applicable versions of general terms, acceptable-use policy and any data-processing agreement. Special prices override only the corresponding general prices. Mandatory law takes precedence. Conflicting non-price provisions must be resolved explicitly before signing.
